GENERAL TERMS AND CONDITIONS OF SERVICE

1. IDENTIFICATION OF THE OWNER

Website owner and service provider:

Luca Simonetti, self-employed professional, owner of the RUNBIS brand (hereinafter, “RUNBIS”).

Activity carried out in Spain.

2. NATURE OF THE SERVICE

RUNBIS provides financial operations intervention services aimed at:

  • correcting errors in financial processes
  • unlocking liquidity
  • recovering uncollected revenue
  • restoring operational control

The service is punctual, intensive, and focused on cash impact.

RUNBIS provides financial operational intervention services that may include direct involvement in processes, systems, and workflows, in coordination with the client.

The intervention may include analysis, definition of actions, and active support in implementation.

In all cases, the client retains full responsibility for its systems, decisions, and operations.


3. CLIENTS AND SCOPE

Services are exclusively addressed to:

  • companies
  • professionals

Strictly B2B relationship.
No services are provided to consumers.


4. CONTRACTING PROCESS

The contract is considered valid when any of the following occurs:

  • express acceptance of a proposal
  • full or partial payment
  • online contracting or payment link completion
  • signature of an agreement

RUNBIS may conduct a prior validation call.
RUNBIS reserves the right to reject cases that lack operational fit.


5. PRICING AND PAYMENT TERMS

Prices:

  • are expressed in euros (€)
  • do not include VAT unless explicitly stated

Payment methods:

  • bank transfer
  • Stripe or other digital methods
  • payment link

Conditions:

  • payment must be made within the timeframe indicated on the invoice
  • non-payment → immediate suspension of the service

RUNBIS may structure the service as:

  • fixed fee
  • variable fee linked to impact (success fee)

6. INITIAL CHECK-UP

The initial service includes:

  • financial data analysis
  • operational diagnosis
  • identification of cash blockages
  • action plan
  • strategic session

Standard timeframe:

  • 5 business days from receipt of complete information

Without complete data → the timeframe does not start.


7. INTERVENTION

The intervention phase includes:

  • error correction
  • operational stabilization
  • execution follow-up

Typical duration:

  • 4 to 8 weeks

RUNBIS does not assume internal functions of the client.
The client retains full control and responsibility.

The client authorizes RUNBIS to access the systems necessary for service delivery.
The client is responsible for ensuring it has the required rights and permissions over such systems.
RUNBIS commits to using such access exclusively for the execution of the service.


8. REFUND POLICY

The service is non-refundable once the analysis has started.

Exceptions:

  • failure to deliver within the agreed timeframe attributable to RUNBIS
  • lack of fit identified before starting the work

Recurring services:

  • non-refundable for periods already delivered

9. RECURRING SERVICES

If applicable:

  • no permanence unless agreed
  • cancellation with notice prior to the next billing cycle

RUNBIS may suspend the service in case of:

  • non-payment
  • lack of collaboration
  • incorrect information
  • breach of obligations

10. CLIENT OBLIGATIONS

The client agrees to:

  • provide truthful, complete, and updated data
  • grant necessary access
  • collaborate actively
  • execute decisions under its own responsibility

Without reliable data → the service loses validity.


11. LIMITATION OF LIABILITY

RUNBIS provides professional analysis and recommendations.

RUNBIS does not guarantee specific financial results, although the service is designed to generate measurable impact on cash.

RUNBIS shall not be liable for:

  • strategic or financial decisions made by the client
  • incorrect or incomplete information provided by the client
  • indirect impacts resulting from the implementation of operational changes

In any case, RUNBIS’s maximum liability is limited to the total amount of the contracted service.


12. CONFIDENTIALITY

RUNBIS undertakes to:

  • treat information as confidential
  • limit access
  • not disclose data

Specific NDAs may be signed where applicable.


13. INTELLECTUAL PROPERTY

All materials delivered:

  • are for the client’s internal use
  • may not be redistributed or commercialized

14. MODIFICATIONS

RUNBIS may modify these terms at any time.
The current version will be the one published on the website.


15. APPLICABLE LAW AND JURISDICTION

Spanish law applies.

Jurisdiction:

Courts of Barcelona, unless otherwise agreed.


16. ACCEPTANCE

Contracting implies full acceptance of these terms.
