GENERAL TERMS AND CONDITIONS OF SERVICE

1. Identification
Service provider: Luca Simonetti, self-employed professional, owner of the RUNBIS brand (“RUNBIS”). Activity carried out in Spain. Contact via website channels.
2. Nature of the service
RUNBIS provides financial operations intervention services aimed at correcting process errors, unlocking liquidity, recovering revenue and restoring operational control.
Services are punctual, intensive and focused on cash impact.
RUNBIS may intervene directly in processes, systems and workflows, including analysis, action definition and implementation support.
In all cases, the client retains full responsibility for decisions, systems and operations.
3. Clients and scope
Services are exclusively provided to companies and professionals (B2B). No services are offered to consumers.
4. Contracting
A contract is considered valid upon:
– acceptance of a proposal
– payment (full or partial)
– completion of an online payment or booking
– execution of a written agreement
RUNBIS may perform a prior validation and reserves the right to reject cases without sufficient operational or economic potential.
5. Pricing and payment
Prices are in euros (€), excluding VAT unless stated.
Payment methods: bank transfer, Stripe or equivalent.
Payment must be completed within the indicated timeframe. Non-payment results in immediate suspension.
Services may include:
– fixed fee
– variable fee linked to impact (“success fee”)
Definition of impact:
Impact refers to measurable improvement in cash position, including but not limited to recovered receivables, unlocked invoicing or corrected financial flows.
Calculation criteria may be defined by RUNBIS based on available data and agreed scope.
6. Initial check-up
Includes analysis, diagnosis, identification of cash blockages, action plan and strategic session.
Standard timeframe: 5 business days from receipt of complete and accurate data.
If data is incomplete, the timeframe is suspended.
7. Intervention
Includes operational correction, stabilization and execution follow-up.
Typical duration: 4–8 weeks.
RUNBIS does not assume internal roles within the client organization.
The client remains responsible for execution, approvals and internal coordination.
The client authorizes access to necessary systems and guarantees legal access rights.
RUNBIS will use access exclusively for service execution.
Service continuity conditions:
RUNBIS reserves the right to adjust or interrupt the intervention if:
– no measurable improvement is observed within a reasonable timeframe (including 72h checkpoints)
– no relevant progress is achieved within 14 days
– data is incomplete or unreliable
– collaboration is insufficient
8. Refund policy
Services are non-refundable once analysis or intervention has started.
Exceptions:
– failure attributable to RUNBIS to deliver agreed scope
– lack of fit identified before starting
Delivered work phases are non-refundable.
9. Recurring services
If applicable:
– no permanence unless agreed
– cancellation requires notice before next billing cycle
RUNBIS may suspend services in case of non-payment, lack of collaboration, incorrect data or breach of obligations.
10. Client obligations
The client must:
– provide accurate and complete data
– grant necessary access
– collaborate actively
– assume responsibility for decisions and execution
Without reliable data, results cannot be validated and service value is compromised.
11. Limitation of liability
RUNBIS provides professional analysis and operational support.
No guarantee of specific financial results is provided.
RUNBIS shall not be liable for:
– client decisions
– incorrect or incomplete data
– execution failures within the client organization
– indirect or consequential damages
– loss of profit or opportunity
Maximum liability is limited to the total amount paid for the service.
12. Confidentiality
RUNBIS commits to confidentiality, restricted access and non-disclosure of client data. Additional NDAs may apply.
13. Intellectual property
All materials are for internal client use only and may not be redistributed or commercialized.
14. Modifications
RUNBIS may modify these terms at any time. The current version applies upon publication.
15. Jurisdiction
Spanish law applies. Jurisdiction: courts of Barcelona.
16. Acceptance
Contracting implies full acceptance of these terms.
